CHARTERHOUSE takes majority stake in ESTYA
Context
Charterhouse agreed to acquire Estya, formerly known as Eris, from Chequers Capital, which had held a majority stake since its initial investment in 2021. The transaction valued the company at an enterprise value of , representing an EV/revenue multiple of based on revenue of . Chequers Capital retained a minority stake, while Estya's management, led by CEO and founder Ludovic Goëta, reinvested in the company. The deal was structured as a secondary buyout, following a competitive process run by Edmond de Rothschild that saw Charterhouse prevail over three other candidates, including Cobepa and Ardian. The acquisition was financed through a unitranche debt facility provided by Arcmont and Parksquare SMBC, representing a leverage of 5.5 times. The lenders also made available a substantial acquisition line for future build-up opportunities. At the time of the transaction, Estya operated 15 agencies in France and had tripled in size since 2021, completing seven acquisitions over that period. Edmond de Rothschild Corporate Finance advised Chequers Capital and Estya's CEO on the sale, with Arnaud Petit, Aurélien Bouvier, Cyrielle Mongardien, Etienne Ceccaldi, Augustin Peyronne and Mathis Coccordano on the M&A team, and Paul Assaël, Arthur de Latour and Pierre-Louis Anaya on debt advisory.
