CHARTERHOUSE takes majority stake in METRODORA

Context

Magnum Capital sold Metrodora, the Spanish healthcare education group, to Charterhouse Capital Partners in a transaction agreed in December 2024 and subject to regulatory approval. Charterhouse took control of Metrodora in partnership with the company's founder, Jordi Roche, who remained a significant investor in the business. The acquisition was combined with Novétude, a French higher education group in healthcare backed by Charterhouse since 2020, to form a European platform in healthcare education. At entry, the combined platform comprised over 60 centres and 75,000 students, with core markets in Spain and France. Metrodora had integrated 18 educational platforms and opened new centres across Spain and Latin America, reaching over 25,000 students. Charterhouse invested alongside Jordi Roche and Metrodora's management team to pursue consolidation, international expansion and organic growth. The deal marked Charterhouse's third investment in Spain in two years. The financing supporting the acquisition was provided by HSBC Continental Europe, Natixis and The Governor and Company of the Bank of Ireland. Gide advised the lenders on the financing, with partner Nathalie Benoit and associate Caroline Nguyen Huu on financing aspects, and partner Magali Buchert and associate Charles Ghuysen on tax aspects, working with Cuatrecasas in Spain and Arendt & Medernach in Luxembourg. Eight Advisory performed the buy-side financial due diligence for Charterhouse, with a team led by partner Gennat Mouline alongside Guillaume Héral, Maite Ybarra Maguregui and Ilyas El Guermat.

It is worth noting that the fund Magnum Capital took control of Metrodora through an LBO in 2021.
