Bridgepoint takes majority stake in Lansweeper

BELGIUM Software EV €500M–1.5bn

Context

Bridgepoint agreed to acquire a majority stake in Lansweeper, in a secondary buyout from Insight Partners and Imker Group, which exited in full, while Dovesco kept a minority interest and the management team remained a significant shareholder. The transaction valued the company at an enterprise value of €800m, an EV/revenue multiple of 4x–10x on revenue of €100–200M. Completion was expected by the end of 2026, subject to customary conditions and regulatory approvals. Founded in 2004 and headquartered in Ghent, Lansweeper tells organisations what is actually connected to their networks. Its software scans the network and identifies every machine on it, the operating systems and applications installed, the versions running and the configurations in place, without requiring an agent to be installed on each device. It recognises what it finds against its own database of technology assets, built over two decades, which lets it name hardware and software it has never encountered on that particular network. Large organisations rarely know their own estate. Devices accumulate through acquisitions, departments buy their own equipment, and machines that no one has recorded continue running software no one has patched. Each unknown device is a point of entry, each unrecorded licence a liability at audit, and both become visible only once an inventory exists. Its customers are thousands of organisations in manufacturing, healthcare, financial services, technology and the public sector, across North America and Europe. Bridgepoint invested to fund product development, particularly in artificial intelligence, international expansion and selective acquisitions, in a field adjacent to the cybersecurity businesses it had backed previously. J.P. Morgan acted as lead financial adviser to Bridgepoint, with Rothschild & Co and ING as joint junior advisers, Clifford Chance on legal and EY on financial and tax matters. William Blair advised Lansweeper, with A&O Shearman on legal, EY on financial and tax and EY-Parthenon on commercial and technology due diligence.
