ADISTA acquired by KEENSIGHT CAPITAL
Context
Keensight Capital has signed an agreement to acquire a majority stake in Adista, taking over from Equistone Partners Europe. The deal was structured via a preemptive offer, bypassing a planned auction process due to Adista's strong performance, having doubled its revenue since 2016. The current management team, led by Patrice Bélie, reinvested significantly alongside Keensight and a pool of minority investors including FEF (Mubadala and Bpifrance), GEI, and ILP. The transaction is financed by a unitranche facility provided by Idinvest. This new strategic cycle aims to fuel Adista's "Buy-and-Build" strategy, following the successful integrations of Fingerprint Technologies and Waycom, with the objective of doubling the group's size again within four years.
In the past, the company underwent an LBO led by Equistone / Gei in 2016, and continued an active consolidation strategy by notably acquiring Waycom (2021).
ADISTA, which reported an EBITDA margin of LOGIN in 2020, is valued in this transaction at an EV/EBITDA multiple of LOGIN, representing a LOGIN to the average currently observed in the TMT (Tech, Media, Telecom) sector (14.3x).
