HealthEdge acquired by BAIN CAPITAL

The private investment firm Bain Capital signs a definitive agreement to acquire the healthcare software provider HealthEdge from funds managed by Blackstone. Executed via Bain Capital’s Private Equity team, the transaction marks a complete liquidity event for the primary financial sponsor alongside minority shareholders, including Coatue Management under the leadership of Philippe Laffont. Blackstone initially backed HealthEdge in 2020 during an expansion phase in digital healthcare, subsequently supporting strategic add-on acquisitions such as Altruista Health and Wellframe to assemble a comprehensive payer technology platform before structuring this outright exit. HealthEdge enters this ownership transition backed by established operational metrics, generating in annual revenue and in EBITDA. The incoming investment thesis, steered by Bain Capital partners Devin O’Reilly and Paul Moskowitz, focuses on accelerating the implementation of generative artificial intelligence across health plan operating environments, positioning the company as an essential architecture partner for modernizing complex healthcare IT workflows. Target chief executive officer Steve Krupa remains aligned with the incoming sponsor to oversee this next expansion phase, while Blackstone senior managing directors Ram M. Jagannath and Anushka M. Sunder finalize their five-year stewardship. Scheduled to close in the second quarter of 2025 subject to customary closing conditions, the buyout is capitalized through committed debt financing arranged by Ares Management as lead financing partner. Advisory mandates for the buy-side were entrusted to TripleTree as lead financial advisor and Kirkland & Ellis as legal counsel. Blackstone and the selling shareholders retained Evercore and UBS Investment Bank as financial advisors, with Simpson Thacher & Bartlett acting as sell-side legal counsel.
