MITIE GROUP acquired by OCS

Context

OCS Group International agreed on 21 July 2026 to buy Mitie Group in a recommended cash offer that merges two of Britain's largest facilities management companies. Mitie shareholders will get 218.5p a share in cash and keep the planned 3.1p final dividend, taking the offer to up to 221.6p a share, a 47 percent premium to Mitie's closing price on the Monday before the announcement. The bid values Mitie at on a fully diluted basis. Completion is expected in the first quarter of 2027, subject to Mitie shareholder approval and regulatory clearances. OCS has been owned by the private equity group Clayton, Dubilier & Rice since 2022. The enlarged business would employ more than 219,000 people worldwide, adding Mitie's UK engineering maintenance, security, hygiene and compliance operations to OCS's international business. OCS has 135,000 staff across the UK, Europe, Asia Pacific and the Middle East, while Mitie employs 84,000. The combination is meant to strengthen OCS in government, defence, healthcare, national infrastructure and commercial markets and to give it greater scale to invest in technology, data and artificial intelligence. Rob Legge, group chief executive of OCS Group, said the deal would build a British facilities management group better placed to support the organisations that keep the country running. Phil Bentley, chief executive of Mitie, said the recommended offer reflects the strength of Mitie's brand, capabilities and reputation and delivers value for shareholders. Until completion, both businesses remain focused on supporting customers.

Previously, the company had pursued a consolidation strategy by acquiring Grupo Visegurity (2024) and Marlowe (2025) and Argus Fire Protection (2025).
