Integrace acquired by Warburg Pincus

INDIA Life Sciences / Pharma & Biotech / Generics / Labs EV INR 5–15bn

Context

Warburg Pincus acquired Integrace on 15 July 2026 from True North and Temasek, which exited in full, the former having held 55.83% through its sixth fund and the latter 43.91% through V-Science Investments. The transaction was reported at an enterprise value of INR 5–15bn. Rehan Khan, formerly managing director of MSD and of Abbott India, was appointed chief executive to lead the business under its new ownership. Based in Mumbai, Integrace markets branded pharmaceutical formulations for orthopaedic and gynaecological conditions, covering pain management, pregnancy and women’s health. Its portfolio comprises more than twenty brands, five of which rank among the three largest in their respective segments, and its representatives cover more than 45,000 specialist prescribers across India. The business was assembled by acquisition rather than developed from research, having been incorporated in August 2018 to purchase branded generic portfolios from Glenmark Pharmaceuticals: first that company’s gynaecology business in October 2018 for 115 crores, then its orthopaedic and pain management operations in India and Nepal for 635 crores, before adding the Mifegest and Cytolog brands from Zydus Healthcare in 2021. Value in the Indian branded generics market resides in the prescriber relationship rather than in the molecule, since the compounds themselves are off patent and the prescription follows the brand a specialist has come to rely upon. Building that recognition requires a field force calling on physicians over years, which is what makes an established portfolio difficult to displace and expensive to replicate. Warburg Pincus has invested in India for three decades and intended to develop Integrace into a larger therapy-focused platform through further consolidation of the domestic formulations market.

The acquisition of Integrace is part of the growth strategy of Warburg Pincus, which already has several external growth operations under its belt, notably Raptor Technologies in 2025.
