Warburg Pincus takes majority stake in Raptor Technologies

UNITED STATES Software / Industry-Specific Software EV $1–10bn

Context

Warburg Pincus led a buyer group that agreed to acquire Raptor Technologies from Thoma Bravo, in a secondary buyout expected to close in January 2026. Thoma Bravo exited in full after a period during which it made six acquisitions for the company and widened its reach. JMI Equity, an existing shareholder, reinvested alongside the new lead sponsor. Founded in 2002, Raptor supplies software that schools use to manage safety. Its systems screen and badge visitors at the door, checking them against sex offender registries and custody restrictions before they enter; they track students as they move between buildings and record who is responsible for them; they log incidents and behavioural concerns so that staff can act before a situation escalates; and they run the drills and emergency procedures that regulations require, recording that each has been carried out. Its customers are primary and secondary schools and the districts that run them, 60,000 schools across 55 countries. The market rests on obligations that have accumulated over two decades in the United States, where states have legislated successively on visitor screening, drill frequency and incident reporting, each requirement adding documentation a district must produce on demand. Schools that handled this on paper have had to replace it with systems, and districts buy centrally for all their establishments, which makes each sale large and durable. Warburg Pincus based its investment on the company’s scale in that market and on the prospect of extending it internationally, where similar obligations are emerging. JPMorgan advised Thoma Bravo on the sale.
