Context

Portobello Capital acquired 100% of Farmol, the Italian contract manufacturer of aerosol and liquid products based in Comun Nuovo, from Green Arrow Capital, in a transaction announced on 27 July 2021. At the time of the deal, Farmol generated revenue of and employed about 700 people across six production sites in Italy, Hungary, Slovakia and Tunisia, with chief executive Francesco Maestri staying at the head of the business. Green Arrow Capital had owned Farmol for five years, having backed it through Green Arrow Private Equity Fund 3, and the sale was the first exit for that fund. Portobello planned to build Farmol into a platform in aerosol manufacturing, through organic growth, the development of its healthcare business and acquisitions in the sector. Ethica Group advised Portobello Capital on the acquisition, while Green Arrow Capital was advised by Mediobanca and Intesa Sanpaolo.

Based in Comun Nuovo, near Bergamo, Farmol manufactures aerosol and liquid products on behalf of other companies, which sell them under their own brands. Its lines fill and pack sprays, foams, gels and liquids for beauty and personal care, household cleaning and pharmaceutical use, from formulation through to the finished packaged product. Its customers are consumer goods companies that outsource part of their production, and it manufactures at six sites in Italy, Hungary, Slovakia and Tunisia.
