CALEDONIA INVESTMENTS invests in BLUE DIAMOND

UNITED KINGDOM Retail / Specialized Retail / Home & DIY EV £300–700M

Context

Blue Diamond sold a minority stake to Caledonia Investments in a deal agreed in June 2026 and expected to complete in early July, subject to shareholder approval and other conditions. Caledonia’s investment combined capital for future growth with funds allowing existing shareholders to realise part of their holdings, and left it with a fully diluted minority stake of around 16%. The two parties also agreed a framework under which Caledonia would make further capital available over the following five years, subject to conditions, to support acquisitions, investment in the existing estate and further shareholder liquidity. At the time of the transaction, Blue Diamond ran 54 garden centres across the United Kingdom and the Channel Islands and generated revenue of £250–500M and an EBITDA of £25–50M, an EBITDA margin of [members only]. Since 2013, its revenue and EBITDA had grown at compound annual rates of about 17% and 21%. Chief executive Alan Roper stayed at the head of the business, with Simon Burke as chair. Caledonia based its investment on Blue Diamond’s position in a large and fragmented market with room for consolidation, and on the company’s intention to continue acquiring sites and investing in its existing centres.

Target

Founded in Guernsey in 1904, Blue Diamond operates garden centres across the United Kingdom and the Channel Islands. Its sites sell plants, trees, seeds, tools and other horticultural products, alongside homeware, furniture, clothing and leisure ranges, and most of them house restaurants and cafés. The format is built around customers who come to spend time on site rather than to buy a single item, and the company is headquartered in Guernsey.
