CALEDONIA INVESTMENTS takes majority stake in CONQUIP

UNITED KINGDOM Industrial Services / Equipment Rental REV 1m GBP - 100m GBP

Context

Caledonia Investments took a majority stake in Conquip Engineering Group, the British manufacturer and hirer of specialist construction equipment, in a deal announced on 4 August 2026. The investment combined the purchase of a controlling interest with capital to fund the company’s development. Founders Daniel and George Critchley, who had built the business as a family company, reinvested alongside Caledonia and stayed to run it. At the time of the deal, Conquip employed around 250 people across nine regional sites. Caledonia planned to work with management on deepening relationships with existing customers, extending the geographic reach, enlarging the rental fleet, growing the shoring business, launching new products and making selective acquisitions. Conquip had already moved into more complex shoring work through its rental operations and its earlier purchase of ProMech, and the combination of that engineering capability with its depot network and customer base was expected to open up a wider range of work across the country. Caledonia was advised by Stifel on corporate finance, Stephenson Harwood on legal matters, CIL on commercial due diligence and Deloitte on tax. The sellers worked with Clearwater Corporate Finance, Squire Patton Boggs as legal counsel, L.E.K. on commercial due diligence and KPMG on financial and tax due diligence.

Previously, Conquip had completed the acquisition of Pro Mech in 2025 as part of its consolidation strategy.

Target

Founded in 2003, Conquip designs, manufactures and supplies specialist equipment for construction and infrastructure sites, such as lifting and material handling attachments, access and safety equipment and shoring systems used to hold the walls of excavations in place. Customers can buy the equipment or hire it, and the company also provides engineering support on the more complex shoring applications, where the solution has to be designed for the specific site. Its customers work mainly in infrastructure and utilities, alongside housebuilding and other construction, and it supplies them from a network of regional depots across the United Kingdom.
