YFOOD LABS acquired by NESTLE

GERMANY Food Processing / Food Products EV €300–700M

Context

Nestlé acquired the remaining shares of yfood Labs, the Munich-based meal-replacement nutrition company, to take full ownership of the business after holding a minority stake since 2023. The transaction was announced on 3 June 2026, with the founders' remaining shares transferred by 3 July 2026. The acquisition valued yfood at an enterprise value of €450m, against revenue of €150m, implying an EV/revenue multiple of 3.0x. During Nestlé's minority investment period, yfood expanded its retail presence in the United Kingdom. On 18 June 2026, the company reported that its products were available in more than 10,000 retail outlets nationwide, including over 850 Tesco Superstores carrying six flavours and more than 1,500 Tesco Express stores featuring a dedicated breakfast-on-the-go fixture. Other retail partners included Boots, Sainsbury's, Co-op, Holland & Barrett, Superdrug, SPAR and Nisa. The brand had already secured listings in more than 350 Tesco Extra and Superstore locations by September 2023, with further distribution agreements added over the following years. The acquisition gave Nestlé full ownership of a brand with an established consumer proposition and a growing retail network, consolidating its investment in the meal-replacement category. The transaction completed the transfer of the founders' remaining equity to Nestlé in July 2026.

Target

Founded in Munich in 2017, yfood Labs develops and sells meal replacement products under its own brand, combining protein, carbohydrates, fats, vitamins and minerals in a single serving for people who want a quick meal rather than a snack. Its range covers ready-to-drink shakes, powders and bars in several flavours and formats, including products positioned for breakfast on the move. Its customers are consumers, reached through supermarkets, convenience stores, pharmacy chains and health and beauty retailers in Germany, the United Kingdom and other European markets, as well as through its own online shop.
