PEAK ROCK CAPITAL takes majority stake in DALZIEL INGREDIENTS
Context
An affiliate of Peak Rock Capital acquired a majority stake in J.R. Dalziel, a Scottish food wholesale and ingredients group, in a transaction that closed in May 2026. The acquisition was supported by a debt package arranged by CVC Credit, comprising a unitranche facility, a committed acquisition facility and a revolving credit facility provided by a bank. Based on EBITDA of £25–50M, the debt package represented leverage of approximately 4.7x EBITDA, with the unitranche margin understood to be around 500 basis points above the reference rate. Based in Bellshill, Scotland, J.R. Dalziel is a family-run supplier of meat, poultry, seasonings and specialist food ingredients to the UK's retail butchery and food processing sectors. The group serves customers through a network of depots across the United Kingdom, combining food wholesale distribution with specialist ingredients supply. The acquisition gave Peak Rock exposure to the UK food ingredients and wholesale market, in line with its investment focus on the food and beverage sector. J.R. Dalziel had previously financed its growth through a Royal Bank of Scotland debt facility secured shortly after its incorporation in 2008, which was fully repaid by 2010. Houlihan Lokey acted as exclusive financing and M&A adviser to Peak Rock on the transaction.
