Kraft Heinz North America Coffee acquired by One Rock Capital Partners

UNITED STATES Food Processing / Beverages / Coffee & Tea EV $500M–1.5bn

Context

Kraft Heinz entered into a definitive agreement on 4 November 2026 to divest its North American coffee business to an affiliate of One Rock Capital Partners, at an enterprise value of $500M–1.5bn. Kraft Heinz retained a 30% non-controlling interest. Completion was expected in mid-2027, subject to regulatory approval. Net proceeds after tax of approximately 500 million dollars were earmarked for debt reduction. The perimeter covers the Maxwell House, Gevalia, Nabob, Yuban, Tassimo, Ethical Bean and Sanka brands, together with the assets, customer support and functions required to operate independently. Approximately 250 employees across supply chain, sales, marketing, finance, human resources and development were to transfer, alongside the roasting plants at Jacksonville, Florida, and Vancouver, British Columbia. Maxwell House has been sold in North America for more than a century and remains among the largest ground coffee brands by volume, though the category has moved away from the canned ground coffee on which it was built. Consumers have shifted towards single-serve systems, premium roasters and ready-to-drink formats, leaving the established mainstream brands with declining volumes and limited pricing power. Within a group organised around condiments and prepared foods, coffee received neither the investment nor the attention the category required. One Rock specialises in acquiring such businesses from large corporations and operating them separately, with its own management and investment. It intended to increase spending across the brands and rebuild their position with retailers. For Kraft Heinz, the disposal continues a reorganisation of a portfolio generating approximately 25 billion dollars of annual sales, concentrating resources on the brands where the group sees growth. Retaining 30% leaves it exposed to any recovery One Rock achieves. Rothschild & Co and Centerview Partners advised Kraft Heinz, with McGuireWoods as legal counsel, while Deutsche Bank Securities and Fifth Third Securities advised One Rock, with Latham & Watkins as counsel.

By taking control of Kraft Heinz North America Coffee, One Rock Capital Partners continues its expansion strategy. Previously, the group had completed 2 acquisitions, including Eat Happy Group in 2026.
