KESTER takes majority stake in DATABALANCE

Context

Kester Capital acquired Databalance, the Dutch managed IT services provider, from 5CS Capital Partners. The management team and 5CS Capital Partners reinvested alongside Kester Capital, and the company continued to be led by chief executive Nordi Malih and his team. 5CS Capital Partners had backed Databalance since 2020, when it partnered with Nordi Malih to build the business, growing it organically and through six acquisitions, each fully integrated into a single operating model. By the time of the sale, Databalance served more than 400 mid-sized and larger customers across the Netherlands. The investment was Kester Capital’s second from its Kester Capital IV fund, after Nutritics earlier in 2026, and its second in the Netherlands following Avania. Lincoln International advised 5CS Capital Partners and the other shareholders on the sale.

DATABALANCE, which reported an EBITDA margin of in 2026, is valued in this transaction at an EV/EBITDA multiple of , a level to compare with the average currently observed in the TMT (Tech, Media, Telecom) sector (14.7x).

Target

Founded in 2020, Databalance runs IT environments on behalf of Dutch organisations under long-term managed services contracts. It operates and maintains their infrastructure, hosts their systems on its own platforms and on hybrid or public cloud, manages their workplace tools, and provides cybersecurity and data and AI services. Its customers are mid-sized and larger organisations in the Netherlands whose operations depend on their IT systems running continuously, and which outsource that responsibility rather than keeping it in-house. The company is based in the Netherlands.
