ITM ISOTOPE TECHNOLOGIES acquired by Telix Pharmaceuticals

In September 2026, Telix Pharmaceuticals Limited, led by Group CEO Dr. Christian Behrenbruch, entered into a definitive agreement to acquire 100% of ITM Isotope Technologies Munich SE. The cross-border transaction adds in annual revenue, strengthening Telix’s footprint across the global radiopharmaceutical supply chain. Upfront consideration will be primarily funded through the issuance of 105.8 million new Telix shares, delivered as Nasdaq-listed American Depositary Receipts (ADRs). Telix will also assume US$302 million in net debt and fund US$96 million in management equity rollovers and transaction expenses. The deal features up to US$700 million in contingent earn-out payments, including:Up to US$250 million tied to FDA approvals across three distinct oncology indications;Up to US$450 million based on predefined net global sales targets through FY2030. Strategically, integrating the German isotope manufacturer secures Telix’s upstream supply of key therapeutic radioisotopes, fully internalizing manufacturing for both commercial and clinical-stage pipelines. On a pro forma basis, the combined group is expected to generate over US$1.3 billion in revenue for FY2026. Working alongside ITM CEO Dr. Andrew Cavey, leadership plans to leverage these operational synergies to expand market leadership in targeted radionuclide therapies.The transaction is subject to Telix shareholder approval and customary closing conditions, with completion expected before the end of FY2026.
