INFLEXION invests in SALTO SYSTEMS

Context

Inflexion took a minority stake in Salto Systems, the Spanish maker of smart electronic access control systems, in a deal announced in July 2026, becoming lead minority investor alongside a group of new and reinvesting shareholders. The investment was made through Partnership Capital III, Inflexion's dedicated minority fund, and remained subject to regulatory approvals. The transaction reshuffled Salto's shareholder base rather than raising new money: together, the incoming investors took 33% of the company, with no new shares issued and no capital increase. Sofina and Peninsula Capital Partners sold out, while Alantra exited through its third fund and reinvested through its fourth and a co-investment vehicle anchored by Kutxabank's Indar Kartera. The new Basque shareholders included the family offices Key Wolf, Asúa Inversiones and Beraunberri. Salto ran the search for new partners itself, without appointing an investment bank. At the time of the deal, Salto employed 1,850 people across 50 offices and served more than 15,000 customers in 160 countries. The company said the transaction would not change its operations, governance, management team or strategy. Inflexion was to support its next phase of growth, drawing on its international network and buy-and-build experience to accelerate expansion in North America and other fast-growing markets. Slaughter and May and Uría Menéndez advised Inflexion on the corporate side, with Sullivan & Cromwell on financing and tax.

Founded in Oiartzun, in the Spanish Basque Country, Salto Systems designs and manufactures electronic access control systems, specialising in smart wireless locks that replace mechanical keys. Its products combine door hardware with mobile and digital keys and cloud-based software, so that building managers can grant, change or withdraw access rights remotely and track who enters which door. The company sells through three brands, Salto, Gantner and Vintia, to commercial buildings, hotels, housing, schools and universities, and critical infrastructure sites, and operates from offices around the world.
