Context

IK Partners, through its IK Small Cap I Fund, acquired a majority stake in Domia Group from Metric Capital Partners. This transaction marks the group's first traditional LBO following a successful period of financial and operational recovery. The historical founders (Maxime Aiach, Philippe Coléon, and José Dinis) significantly reinvested in the deal to retain equity and drive further development. The financing was completed with a unitranche debt facility provided by Tikehau Capital. The objective of this new cycle is to capitalize on Acadomia’s recovery and the rapid growth of the Shiva franchise network to solidify the group’s leadership in the French home services market.

Target

Domia Group is a leading French service platform operating two iconic brands: Acadomia and Shiva. Acadomia, established in 1989, is the French leader in private tutoring, offering at-home, center-based, and online educational support through a network of 104 agencies and 20,000 tutors. Shiva, founded in 2002, is a premier provider of individualized housekeeping services, operating a vast franchised network of over 500 agencies. The group’s business model centers on managing complex human-to-human service logistics, ensuring quality control, and providing seamless administrative support for over 300,000 families. Its value proposition is built on trust and reliability in mission-critical household needs, ranging from primary education to home maintenance, while increasingly expanding into elderly care through its "Nos Aimés" brand.

Cinven has entered into a definitive agreement to acquire a controlling interest in Domia Group. The transaction was financed through a 165 million euro unitranche facility arranged by Tikehau Capital. The strategic rationale for the deal focuses on accelerating the growth of the Shiva brand and its home-care subsidiary, "Nos Aimés," to capitalize on the increasing demand for elderly and household services in France. The acquisition allows the group to exit its previous ownership cycle with the support of a major international sponsor capable of funding large-scale organic and inorganic expansion. Acadomia will continue to leverage its market-leading position in the tutoring sector to further develop its hybrid and online educational tools. The management team is expected to remain in place to execute the group’s vision of becoming a comprehensive provider of personal services for French households.
