WIFIRST acquired by CAPZA

FRANCE Telecom / Operators REV 50M - 100M EUR

Context

Capza acquired a majority stake in Wifirst following a competitive process led by Hottinguer CF. The historical investors from the 2019 spin-off (Amundi PEF, Bpifrance, Socadif) sold part of their shares but reinvested to keep a minority stake alongside the CEO. The transaction is supported by a unitranche financing facility provided by Ares Management. The deal aims to fuel external growth in Europe.

Historically, the company has already experienced a leveraged buyout orchestrated by Amundi Private Equity / Bpifrance / Socadif in 2019.

WIFIRST, which reported an EBITDA margin of LOGIN in 2021, is valued in this transaction at an EV/EBITDA multiple of LOGIN, a level to compare with the average currently observed in the TMT (Tech, Media, Telecom) sector (14.1x).

Target

Founded in 2002, Wifirst is the French leader in "Managed Wi-Fi" for professionals. The company deploys and operates high-density connectivity networks for specific verticals: student housing (CROUS), hospitality (hotels, campsites), and defense (military bases). Unlike a simple installer, Wifirst operates as a telecom operator with its own core network.
