Terminal Darsena Toscana (TDT) acquired by Grimaldi Group

Context

The Grimaldi Group completed the acquisition of 100% of Terminal Darsena Toscana, the container terminal operator in the port of Livorno, on 31 January 2024, in a deal valued at around €150M. The sellers were Infracapital, the infrastructure arm of M&G, and InfraVia Capital Partners, co-shareholders of Gruppo Investimenti Portuali, together with I.L. Investimenti. Giulio Schenone, chief executive of GIP and a minority shareholder, also exited as part of the transaction. Two Grimaldi subsidiaries took the shares, Grimaldi Euromed with 80% and Grimaldi Deep Sea with the remaining 20%. Completion followed clearance from the Italian competition authority, the approval of the North Tyrrhenian Sea Port System Authority and confirmation from the Italian government that it would not exercise its golden power. In 2023, TDT handled around 387,000 TEU, on a site of 389,000 square metres with 1,430 metres of quay and an annual capacity of 900,000 TEU. Infracapital and InfraVia had acquired 80% of TDT through their purchase of GIP in February 2017, adding a further 20% in 2018. During their ownership they strengthened the management team, invested in terminal equipment and ran an operational improvement programme, positioning Livorno as an origin and destination port for central and north-eastern Italy. For Grimaldi, already active in Livorno, the purchase deepened its position in a port it uses for both freight and passenger traffic between central and northern Italy and the rest of the world, and the group committed to keeping the terminal’s container activity alongside its own ro-ro services.

Target

Terminal Darsena Toscana operates the container terminal in the port of Livorno, under a concession covering areas of the port where cargo is handled. Its quay cranes load and unload container ships along its berths, and the containers are stacked in the yard before being passed to trucks or loaded onto trains, the terminal being connected directly to the Italian rail network. It serves shipping lines calling at Livorno and the shippers and consignees whose cargo moves to and from central and north-eastern Italy, and it is based in Livorno.
