Context
Apax Partners has entered into exclusive negotiations with Capgemini to acquire Odigo. This transaction marks a rare "triple-play" for the private equity firm, which previously held stakes in the company from 1997 to 1999 and again from 2007 to 2011 (when the company was known as Prosodie). Capgemini originally acquired the entity from Apax in 2011 for 382 million EUR. However, the anticipated synergies between the IT services giant and the software subsidiary did not fully materialize, leading to a decline in profitability over the last decade. The strategic rationale for Apax is to relaunch Odigo as a standalone software leader in the competitive CCaaS market. By carving out the asset from Capgemini, Apax aims to refocus the company’s R&D and sales efforts to regain market share in the cloud customer-service space.
ODIGO, which reported an EBITDA margin of LOGIN in 2019, is valued in this transaction at an EV/EBITDA multiple of LOGIN, representing a LOGIN premium to the 13.0x average currently observed in the TMT (Tech, Media, Telecom) sector.

| 11/2025 | ODIGO | AKIO | FRANCE | CRM & Sales | Odigo has finalized the strategic acquisition of Akio, a move supported by its majority investor Seven2 (formerly Apax Partners). This transaction is designed to consolidate the European CCaaS market and create a major sovereign digital alternative to US-based competitors. By integrating Akio, Odigo expands its market reach from large global accounts to the SME and mid-market segments (starting from 10 users). The strategic rationale centers on technological synergy, particularly in AI; Akio brings specialized analytical AI and reputation management tools, which will complement Odigo's proprietary "Agentic AI" platform. This combination allows for a unified omnichannel offering including classic digital channels and advanced conversational experiences like RCS. The deal strengthens Odigo's presence in France, Benelux, Spain, and the UK through an enriched partner ecosystem. Patrick Giudicelli, Akio’s founder, will contribute to the integration as the group transitions into a European CX champion. |
