Inprova Finance acquired by Inspired

UNITED KINGDOM Professional Services / Consulting & Audit / Strategy & Management EV £10–30M

Context

Inspired conditionally agreed in December 2018 to acquire Inprova Finance in full from Inprova Group, at an enterprise value of £19.5m in cash. Inprova Finance buys energy on behalf of its clients. It negotiates their supply contracts, decides when to fix prices against a market that moves daily, verifies the bills that follow, and reports the consumption and emissions its clients are required to declare. It served more than 1,000 customers across 19,000 meter points, concentrated in four sectors: data centres, social housing, education and construction. It generated revenue of £5–25M and an EBITDA of £0–5M, with an order book of around 11.6 million pounds at the same date. The model rests on the number of meters rather than the number of clients. Each meter generates a contract to be renewed, bills to be checked and data to be reported, and a broker is paid by the supplier on the volume passing through those contracts. Scale therefore determines both the fee rate obtainable from suppliers and the cost of serving each meter, which is what drives consolidation among brokers. Inspired had been assembling that scale through acquisitions since 2012, buying more than a dozen energy consultancies across Britain and Ireland. Inprova Finance added meters, clients in sectors where it was less present, and a contracted order book extending beyond the year of purchase.

In the past, Inprova Finance was acquired by Inprova Group in 2017 as part of its expansion strategy.
