Context

Ferguson Enterprises agreed in July 2026 to acquire FloWorks, a Houston-based industrial distributor of highly technical valves and flow control solutions, from Wynnchurch Capital for in cash. Wynnchurch had held a majority stake since 2023, when it bought the company from Clearlake Capital; the sale to a strategic buyer ends that holding period, and the completion was subsequently confirmed. Morgan Chase Bank providing committed financing; Orrick, Herrington & Sutcliffe provided legal counsel and Kirkland & Ellis advised on the financing. Target

FloWorks supplies industrial customers with valves and flow control equipment, and backs this with valve automation, specialty flow control products and repair and servicing carried out at its own service and repair centres. Buyers come from non-residential sectors: chemicals, refining, power generation, semiconductors, pharmaceuticals and data centres, and much of the business comes from maintenance, repair and operations spending. It reaches those customers through locations spread across the United States and Canada, concentrated along the Gulf Coast and through the southern states, and it holds a portfolio of brands. The company was founded in 1961 and is headquartered in Houston, Texas.
