EMK CAPITAL takes majority stake in BRIGHT DATA

ISRAEL IT Services / Infrastructure & Cloud EV $100–350M

Context

Funds managed by EMK Capital acquired a majority shareholding in Luminati (now Bright Data), the enterprise proxy network carved out of the Israeli company Hola Networks in 2014, at an enterprise value of $100–350M. The founders of Hola Networks kept a significant stake, and co-founder Ofer Vilenski stayed on as chief executive of Luminati. Hola Networks continued as a standalone company with its VPN and video content delivery lines. Horizons Ventures, DFJ Tamir Fishman, Trilogy Partners, DFJ, Magma Ventures and Iris Ventures were among the shareholders selling their interests through the transaction. At the time of the deal, Luminati ran a network of more than 40 million IP addresses and served corporate customers across several sectors. EMK Capital set out to work with the management team on growing the business and funding the development of further technologies and services. CODE Advisors acted as financial adviser to Hola Networks, with Naschitz, Brandes, Amir & Co. as legal counsel and Erdinast, Ben Nathan, Toledano & Co. advising its main investors. Arnold & Porter Kaye Scholer and Meitar Liquornik Geva Leshem Tal advised EMK Capital.

Target

Bright Data (ex Luminati) operates an enterprise proxy network that routes its customers’ web requests through residential internet connections and data centre servers around the world. Because the requests reach websites from ordinary consumer addresses, those sites respond as they would to a local visitor rather than to an automated system, which lets companies see what their customers actually see. Its customers use it to verify that their online advertising is displayed as booked, monitor competitors’ prices, detect counterfeit goods and fraud, collect public web data, test security and measure how their applications perform in different countries. Its network rests on a proprietary technology covered by a patent portfolio.
