DAHER MONTRICHARD INDUSTRIE acquired by WEINBERG CAPITAL PARTNERS
Context
Weinberg Capital Partners agreed, through its defence fund WCP Eiréné, to acquire a large majority stake in Daher Montrichard Industrie from the Daher group, in a carve-out structured as an LBO. The Montrichard-based maker of technical containers and shelters for military applications drew interest from both investment funds and industrial buyers in a sale process run by Rothschild & Co, before Weinberg entered exclusive negotiations. The acquisition was to be financed with senior bank debt at a leverage of around three times EBITDA, and remained subject to conditions precedent, including regulatory approvals. At the time of the deal, Daher Montrichard Industrie generated revenue of and employed about 145 people at its Montrichard site. It already operated autonomously with its own management team, which was to take a stake in the capital, while the support and finance functions provided by Daher were to be gradually rebuilt in-house or outsourced. Stéphane Rossignol, who ran the business, was to lead it as an independent company. The deal was the sixth investment of WCP Eiréné, a fund closed in 2025, and its first carve-out. PJT Partners advised Weinberg Capital Partners, with Proskauer as legal counsel and Eight Advisory on financial due diligence. The Daher group was advised by Rothschild & Co, with Baker McKenzie on legal matters and EY Parthenon on the vendor financial due diligence.

Target
Through its production site in Montrichard, in the Loir-et-Cher department of central France, Daher Montrichard Industrie designs, manufactures, integrates and maintains technical containers and mobile shelters, an activity that dates back to 1941. Its containers, standard or made to measure and built in a range of materials to European military standards, are used to transport, handle and store aircraft equipment, weapons systems, missiles, engines and communications equipment, including classified items. Its tactical and logistics shelters house and protect radars and communication systems, and can be air-transportable, ballistic-armoured or shielded against electromagnetic interference. The company covers the full life of these products, from initial design and qualification to integrated logistics support and mid-life refurbishment, and also produces containers for the nuclear and space industries.
