ANDERA PARTNERS invests in Sabena Engineering

The existing shareholder base, comprising executive manager Stéphane Burton and the Belgian sovereign wealth fund SFPIM, sells a reference equity stake in Sabena Aerospace Holding (€180M of revenues) to Andera Partners. Through this equity transaction, the French private equity firm acquires joint control over the holding company and its primary operational subsidiary, Sabena Engineering Group. The capital deployment originates from the Andera Expansion investment vehicle, incorporating the aircraft maintenance provider into the buyer's existing portfolio of aerospace service assets. Following the finalization of the share purchase agreement, both Stéphane Burton and SFPIM retain their respective ownership positions within the capital table of the holding company, establishing a joint governance framework alongside the incoming French investors. The financial transaction provides capital allocations to finance the physical expansion of the company's industrial maintenance hangars across the European continent. Furthermore, the newly formed shareholder consortium allocates the financial resources to execute subsequent bolt-on acquisitions, systematically purchasing complementary geographic locations and additional technical certifications for civil and military airframes. The investment structure addresses shifting conditions in the aviation sector, reacting specifically to growing global fleet volumes, the structural outsourcing of technical maintenance procedures by commercial airlines, and the sustained increases in national military defense budgets across the group's operational territories.
