ADM Value acquired by TESSI
Context
Tessi acquired 100% of ADM Value, the French customer relations outsourcing company, at an enterprise value of €110m. ADM Value expected revenue of €25–50M and current operating income of 11 million euros for the year, and employed more than 3,000 people across eleven sites in France, Morocco and Madagascar. Tessi financed the purchase with 50 million euros of bank debt, for which it had already secured firm commitments, and a capital increase of around 39 million euros. Pixel Holding, which controlled 70.1% of Tessi and brought together HLD Europe and HLDI, the investment company of the Dentressangle family, stated its intention to subscribe for its share and to underwrite any shares left unsubscribed. Three partners of ADM Value contributed around 20% of their group’s shares to Tessi, receiving the balance in cash. Among them was the chief executive, who was to head the customer relations business of the combined group.

Target
ADM Value handles customer relations on behalf of other companies. Its agents answer calls, emails and messages from its clients’ customers, provide technical assistance and after-sales support, and carry out telephone sales and collection campaigns. Its clients are companies outsourcing all or part of their customer contact, and it operates from sites in France, Morocco and Madagascar.
