XYPEX acquired by SAINT-GOBAIN
Context
Compagnie de Saint-Gobain acquired Xypex Chemical Corp., the Canadian maker of crystalline waterproofing products for concrete, from TorQuest Partners, agreeing the transaction on 6 July 2026 and completing it on 1 October. Xypex was expected to generate revenue of CAD 100–200M in 2026. TorQuest had owned the Richmond-based company since April 2021, and the sale process reached a second round with several strategic bidders. Saint-Gobain expected the purchase to strengthen its construction chemicals platform by adding a technology that complements its existing waterproofing range, and to open cross-selling and upselling opportunities between the two. It also pointed to a stronger position in non-residential and infrastructure markets, including transport, water and underground construction, and to the gains from combining Xypex’s specification-driven sales model, which works through the engineers and architects who write project specifications, with its own distribution network and international footprint. BMO Capital Markets and Piper Sandler advised TorQuest Partners on the sale.

Target
Founded in 1968 and headquartered in Richmond, British Columbia, Xypex Chemical Corp. makes crystalline waterproofing products for concrete. Added to the mix or applied to the surface, its liquid and powder formulations form crystals within the concrete that block the passage of water, and reactivate to seal cracks whenever water reaches them again, so that a single treatment keeps working over the life of the structure. Its range is formulated for different concrete applications, and its customers are the contractors who build with it and the engineers and architects who specify it on non-residential and infrastructure projects, worldwide.
