Context

Ambienta SGR, through its Small Cap fund, has acquired a majority stake in The Bridge from the founding Negro Marcigaglia family. The founders have committed to reinvesting alongside the private equity firm and will continue to play a key leadership role in the company's development. The strategic rationale for the acquisition is to capitalize on the robust growth of the plant-based food sector, driven by consumer shifts toward sustainable and healthier diets. Ambienta intends to leverage its international network and sustainability expertise to accelerate The Bridge’s expansion, strengthen its organizational structure, and further invest in product innovation. This transaction marks the second investment for Ambienta’s Small Cap strategy, following the recent acquisition of Pieco.

This transaction is part of the AgriFood industry, which currently tracks an average EBITDA multiple of 10.1x since the beginning of 2026, 9.1% decrease compared to 2025. This data is based on the contribution of our growing community, composed of M&A and private equity professionals.

Target

The Bridge (Bio S.r.l.), founded in 1994, is a pioneering specialist in the development and production of 100% organic plant-based beverages, yogurts, and desserts. The organization operates a fully internalized and integrated business model, covering the entire manufacturing process from raw material extraction to UHT treatment and final packaging. This "farm-to-shelf" integration allows for high flexibility and strict quality control, focusing on "short labels" and product innovation. With a strong international vocation, the entity generates approximately 80% of its turnover outside of Italy, distributing through its own brand and as a high-end private label partner. The group is positioned at the intersection of the healthy-aging and environmental sustainability trends, serving the rapidly growing 4.3 billion EUR European plant-based dairy alternative market.
