Context

Carlyle agreed on 1 October 2026 to acquire Nidec Components from Nidec Corporation, in a carve-out of the Japanese group's electronic components subsidiary at an enterprise value of . Nidec's board resolved the same day to transfer all 66,302,120 shares it held, taking its voting stake from 100% to zero, to TCG2603, a company incorporated in August 2026 and indirectly held by Carlyle-related funds. The transfer was scheduled for 1 December 2026, subject to regulatory approvals and other closing conditions. At the time of the deal, Nidec Components generated revenue of and an EBIT of {ebit_1}, an EV/revenue multiple of 3.2x. The sale formed part of a restructuring at Nidec, which had disclosed accounting irregularities and weaknesses in its internal controls on 30 September 2026 and had set out, in May 2026, a five-year reform plan for fiscal years 2026 to 2030 concentrating resources on its core businesses. Nidec said that under Carlyle, the components business could follow its own growth strategy, with the scale of capital investment and research now required in markets such as semiconductor manufacturing equipment and collaborative robots, and the transaction was expected to establish Nidec Components as an independent company with greater freedom over decisions and investment. Carlyle said the business had built a strong competitive position in its markets, based on the quality and reliability of its products, and benefited from demand driven by artificial intelligence and industrial automation. The deal added to Carlyle's activity in industrial, technology and infrastructure services in Japan, where it had previously carved out Omron's device and module solutions business, since renamed Aratas, and drew on its experience of industrial carve-outs.

Founded in 1967 and formerly known as Copal Electronics, Nidec Components develops, manufactures and sells electronic components for industrial equipment and vehicles. Its products include pressure sensors, switches, torque sensors and encoders, which measure position, rotation and force inside machines and feed that data to their control systems, as well as polygon mirrors used in laser printing and scanning equipment. Its customers build industrial machinery, semiconductor manufacturing equipment, robots and vehicles. The company is based in Japan and sells internationally, with a European subsidiary in Eschborn, Germany.
