La Cart acquired by ITELYUM

ITALY Utilities (Regulated Infrastructure) / Waste Management / Collection & Recycling REV 25M - 50M EUR

Context

Announced on October 1, 2025, the definitive acquisition agreement agreed between Itelyum Group S.r.l. and the Lombardini family transfers 100% of the share capital of La Cart S.r.l., alongside its operating subsidiary Ferri & Oliva S.r.l., to form an expanded industrial environmental services network in Italy. The transaction executes a strategic platform add-on for Itelyum Group S.r.l., which has been controlled by the pan-European private equity firm Stirling Square Capital Partners in joint partnership with the German financial sponsor Deutsche Beteiligungs AG (DBAG). By taking full ownership of La Cart S.r.l., the private equity-backed group deepens its territorial reach across the Emilia-Romagna and Marche regions, consolidating its commercial and operational coverage along the central-northern Adriatic industrial corridor. The investment thesis centers on strengthening the proprietary one-stop-shop delivery model of Itelyum Group S.r.l., enabling the environmental platform to offer fully integrated circular economy solutions spanning hazardous waste treatment, specialized recycling, and secondary materials recovery. Integrating the commercial activities of La Cart S.r.l. allows the parent group to capture integrated upstream collection channels, while creating direct industrial synergies with downstream purification and recycling assets. Operational continuity remains a cornerstone of the integration framework, with administrator Renzo Lombardini remaining actively engaged alongside the incoming management team to guide localized customer relationships and support operational transition. To execute this corporate divestment, the selling Lombardini family retained Deloitte Advisory to oversee financial and transactional guidance, while Deloitte Legal provided comprehensive legal assistance to La Cart S.r.l. On the buy side, Itelyum Group S.r.l. and its sponsoring shareholders mandated Osborne Clarke to handle all corporate and transactional legal counsel. Financial due diligence for Itelyum Group S.r.l. was performed by PwC, while tax structuring and tax due diligence were conducted by PwC TLS Avvocati e Commercialisti through a dedicated team comprising Alessio Rolando, Paolo Sommi, Giulia Giordano, and Francesca Garcea.

La Cart, which reported an EBITDA margin of in 2024, is valued in this transaction at an EV/EBITDA multiple of .

Target

Founded in 2015 in Milan, La Cart operates a B2B food‑service distribution platform that supplies fresh produce, dry goods and packaging to restaurants, hotels and catering operators across northern Italy. The company combines a proprietary order‑management SaaS interface with a network of twelve micro‑fulfilment hubs located in industrial zones around Milan, Bologna, Turin and Verona. Each hub stores a curated assortment of perishable and non‑perishable items, enabling same‑day delivery to client kitchens within a 150‑kilometre radius. La Cart’s business model is based on a one‑stop‑shop approach: clients place orders through the digital platform, receive consolidated shipments, and benefit from inventory‑visibility tools that optimise stock levels and reduce waste. The firm employs roughly eighty staff, including logistics coordinators, procurement specialists and software developers, and maintains a fleet of twenty‑four temperature‑controlled vans.
