FSN Capital takes majority stake in Firesafe
Context
Announced in Oslo on 27 May 2022, private equity firm FSN Capital signed an agreement to acquire a majority stake in Firesafe from Chief Executive Officer Morten Ameln, who had been the company’s sole shareholder since 2010. The platform generates net revenues of , expanding the sponsor's exposure to the non-discretionary, compliance-driven Nordic building safety market. As part of the leveraged buyout, Morten Ameln completed a substantial equity rollover to retain a material minority stake in the recapitalized holding entity, ensuring continuity in executive management and alignment with the incoming sponsor. FSN Capital, led on the transaction by Principal Eskil Koffeld, plans to partner with the existing operational team to professionalize the platform's infrastructure, support talent development, and systematically accelerate geographic expansion across Norway, Sweden, Denmark, and Finland. To execute the cross-border transaction and navigate the regional regulatory environment, FSN Capital retained a multidisciplinary advisory team. Commercial due diligence was conducted by Kearney, while PwC managed financial and operational due diligence. Legal structuring was advised by law firm Schjødt, Frank Partners handled integrity and compliance due diligence, and Marsh acted as insurance and risk adviser. The partnership positions Firesafe to scale its active and passive fire safety solutions across the Nordic region with the backing of an institutional sponsor.
