Wolters Kluwer FCC FRR acquired by Regnology

NETHERLANDS Software / Industry-Specific Software / Financial Services / Banking EV €300–700M

Context

Regnology signed a binding agreement in July 2025 to acquire the Finance, Risk and Regulatory Reporting unit of Wolters Kluwer, at an enterprise value of €450m, an EV/revenue multiple of 2x–6x on revenue of €100–200M for 2024. The carve-out remained subject to regulatory approval and employee consultation, with completion expected in the autumn of 2025. The unit develops software that banks, insurers and capital markets firms use to produce the reports their supervisors require. Regulators demand that institutions calculate and file, at fixed intervals, their capital ratios, liquidity positions, credit exposures and risk measures, each according to rules that differ by jurisdiction and change with every new directive. The software pulls the underlying data from the institution’s own systems, applies the calculation rules and generates the filings in the format each supervisor expects. Its margins had been held down by the investment required to adapt the platform to Basel and other new reporting requirements, a recurring feature of the business: each regulatory cycle obliges the vendor to rebuild part of its rule base before clients will pay for it. For Wolters Kluwer, the sale let its financial and corporate compliance division concentrate on American banking compliance and on corporate legal and compliance services. For Regnology, which had been supplying regulatory reporting software to large banks for more than thirty years, the purchase added client positions in markets where it had none and brought it closer to covering regulatory, risk and finance reporting within a single platform.
