NEXTENERGY acquired by ANWB ENERGIE
Context
ANWB signed an agreement to acquire the whole of NextEnergy, the Utrecht-based electricity supplier, subject to approval by the Dutch competition authority, the Autoriteit Consument & Markt. The purchase would add NextEnergy’s roughly 90,000 customers to the approximately 200,000 already supplied by ANWB Energie. Both companies sold electricity on dynamic contracts priced hour by hour, and NextEnergy brought its own platform combining energy supply with services that charge electric cars and home batteries during the cheapest hours. ANWB presented the deal as a step towards a larger position in the Dutch energy market, noting that a growing share of its members drove electric vehicles, whose running costs depend largely on the price of electricity, and said it intended to turn the combined capabilities of the two businesses into new products for its customers. Until the regulator cleared the transaction, ANWB Energie and NextEnergy were to operate as separate companies, with no change to contracts, terms or apps for customers of either. The two sides planned to work out during 2027 how they would operate together, and to inform customers well in advance of any change affecting them. The ANWB works council issued a positive opinion on the takeover before it was notified to the regulator.
NEXTENERGY, which reported an EBITDA margin of [members only] in 2026, is valued in this transaction at an EV/EBITDA multiple of [members only].
Target
NextEnergy supplies electricity to households on dynamic contracts, where the price charged follows the wholesale market hour by hour. Through its own platform and mobile app, it also steers its customers’ equipment remotely, charging an electric car or a home battery and running a heat pump during the hours when power is cheapest, and handling the electricity that solar panels feed back to the grid. Its customers are households, in particular those equipped with electric vehicles, batteries, solar panels or heat pumps, and the company is based in Utrecht.
